Anthropic says unapproved share sales are void: what it means for you
Anthropic runs a Help Center page warning that sales of its stock without board approval are void, that SPVs may not hold its shares, and that tokenized offers may have no value. Here is exactly what it says, who it affects, and the red flags it lists.
What the page says
Anthropic's page on unauthorized stock sales was first published on 11 February 2026 and updated on 29 June 2026.[1] Its core points, in its own words:
- Any sale or transfer of Anthropic stock, or any interest in Anthropic stock, that its board hasn't approved "is void and will not be recognized on our books and records."[1]
- "We do not permit special purpose vehicles (SPVs) to acquire Anthropic stock and any transfer of shares to an SPV are void under our transfer restrictions."[1]
- Anyone selling Anthropic shares to the public "whether through direct sales, 'forward contracts,' tokenized securities, or other mechanisms" is likely offering an investment that may have no value.[1]
- "If someone offers you a way to participate, even on an indirect basis, in an investment in Anthropic, assume that it is invalid."[1]

The warning doesn't name PreStocks or any other token issuer; it covers the mechanisms in general.[1] When it was widely reported in May 2026, the ANTHROPIC token fell 34% in a week, and PreStocks said its live tokens remained fully backed under its terms.[5][6]
The firms it named
In May 2026 Anthropic listed eight firms it said were not authorized to buy or sell its shares: Open Door Partners, Unicorns Exchange, Pachamama, Lionheart Ventures, Hiive (new offerings), Forge (new offerings), Sydecar and Upmarket.[2][7] On 30 Sep 2026 the list named Unicorns Exchange only, and the page says removing a firm doesn't mean Anthropic recognizes or approves any related investment vehicle.[1]
The red flags Anthropic lists
Anthropic tells people to be especially careful when someone:[1]
- contacts you unsolicited by email, social media or a messaging app offering its shares;
- claims "exclusive" or "limited-time" access;
- asks for payment in cryptocurrency, by wire or another hard-to-trace method;
- pressures you to invest quickly;
- says the deal was structured to get around the company's restrictions; or
- can't document board approval for the transfer.
The SEC's investor alert on pre-IPO scams makes similar points, and in August 2026 the SEC charged a boiler-room operator who raised more than $74 million from retail investors for pre-IPO funds.[8][9]
Other companies say the same
OpenAI's policy says its equity can't be transferred without its written consent, and lists SPV investments, tokenized interests and forward contracts among the unauthorized routes.[3] Anduril says any offer to invest in it that doesn't come from or through Anduril "is very likely a scam".[4]
