Where Anthropic's IPO stands

On 1 June 2026 Anthropic, PBC said it had confidentially submitted a draft registration statement on Form S-1 to the U.S. Securities and Exchange Commission for a proposed initial public offering. The same notice said the IPO "will depend on market conditions and other factors" and that the number of shares and the price "have not yet been set".[1] Anthropic has not published a date, an exchange, a ticker, a price range or a list of banks.

A confidential draft is invisible to the public. The first document anyone can read is the public S-1 on the SEC's EDGAR system, and the SEC requires it at least 15 days before the company starts marketing the shares to investors on a roadshow.[2] On 30 Sep 2026 EDGAR held no registration statement filed by Anthropic, PBC itself (many other companies' filings mention it), and the SEC's list of company tickers had no Anthropic entry.[3][4]

Why the dates keep moving

The reports disagree because they come from people familiar with the plans, not from Anthropic, and plans change. Reuters said on 5 September that marketing could start in mid-October at the earliest, with the listing days before the U.S. midterm elections in November.[6] The Wall Street Journal reported on 18 September that Anthropic was targeting a November debut, which would let it show investors its third-quarter results.[8] Reuters has also reported, citing people familiar with the plans, that the listing will likely come after the midterms, and repeated it on 28 September in its story on the draft prospectus.[10] Anthropic declined to comment on the draft.[11]

About the leaked prospectus figures

Reuters reported that the draft it saw showed 2025 revenue of nearly $4.6 billion and a net loss of about $42 billion, most of it a roughly $34 billion non-cash accounting charge.[10] A draft is not a public filing: its numbers can change, and outsiders can't check them until the public S-1 appears. Anthropic's own published figures are run-rates, annualized revenue that passed $47 billion in May 2026.[12] The valuation history lists every official figure.

What to watch next

  1. The public S-1 on EDGAR. Look for a filing whose filer is Anthropic, PBC; plenty of other filings mention it. It is the first official look at the numbers, the share classes and the risks.[3]
  2. The roadshow and a price range. The roadshow can't start until the public S-1 has been on EDGAR for at least 15 days.[2]
  3. The exchange and the ticker. Until the prospectus names them, any "Anthropic ticker" you see is a data site's placeholder.
  4. Pricing and allocation. Underwriters usually place most IPO shares with institutions; most individuals buy once trading starts.[13]
  5. The first trade and the lockup. Insiders usually can't sell for a set period after listing, often 180 days.[14]

If you hold the ANTHROPIC token

PreStocks says a company's token becomes convertible into a tokenized version of the public stock when it lists, with up to nine months to convert before the token expires worthless.[15] PreStocks' Anthropic page showed no conversion details on 30 Sep 2026.[16] What happens to Anthropic tokens when it lists walks through the SpaceX precedent.
